1. TERMS OF SERVICE OF GOLDDIRECT.COM

These Terms will apply to any use of the website Golddirect.com and any agreement between Golddirect.com , fully owned by Bars and Rounds Int. ( “us” , “we” ) and you, the client (“you”) . Please read these Terms carefully and make sure that you understand them, before ordering any product or use any service from our site. Please note that by ordering any product and/or service , both we and you agree to be bound by these Terms and any other documents expressly referred to herein.

We amend these Terms from time to time as set out in section 20 of these terms. Every time you wish to order any product or service, please check these Terms to ensure you understand the terms, which will apply at that time. We will notify you by email of any major changes in these Terms.

These Terms, and any Agreement between us, provided in another language, the English language version will prevail, as the translations are provided as an extra service to you, our client.

2. REQUIREMENTS FOR USE

We reserve the right to request more extensive details regarding your address or identity , from you for any amounts larger than €10,000 or the equivalent .

By placing an order, you warrant that :

- You are an individual or a corporation, unincorporated association, trust or pension scheme, or holding company and legally capable of entering into binding contracts;

- You are at least 18 years old;

- Your use of the service is on your behalf, and under no circumstance on behalf of another person or entity;

- Your use of the service is not by any means used for any form of payment to any third parties.

- Viewing and use of this website in your region is always your own responsibility, be sure that you are not acting in violation of any local laws or regulations.

3. ACCOUNT OPENING AND VALIDATION

Due to the nature of the products and storage activities and the law, we may carry out identity checks on all new accounts. By agreeing to these Terms, you agree to cooperate with us fully in requesting information to verify your identity and residential address, if necessary.

When opening an account, you will have a choice of two types of accounts: a Regular Account (only for buying goods) or a Full Trading Account (required for buying , selling and storing goods in our storage facilities ).

A: Opening a Regular Account :

To open a regular account you will be asked to provide the following information:

  1. First name;
  2. Last name;
  3. E-mail address;
  4. Country of residence;
  5. You will be asked to choose a password.

With your regular account you will be able to purchase goods from the website. For any amounts over €10.000 or other amounts specified by us, you may be asked to provide a form of identification, due to money laundering regulations, anti fraud and any other regulations.

B: Opening a Full Trading Account :

To open a Full Trading account, or upgrade your Regular account to a Full Trading account, you will be asked to provide the following information:

  1. First name ;
  2. Last name ;
  3. E-mail address ;
  4. Country of residence ;
  5. City ;
  6. You will be asked to choose a password ;
  7. you will be asked to provide a form of identification .

You will be notified at the time of opening your account of the evidence required by us in order to proceed with your transaction. Such evidence may include evidence of residence (a utility bill or credit card statement) .

You must ensure that all information you provide to us is correct and it is your responsibility to inform us of any changes to your information. Any failure by you to comply with our account opening procedures may result in us terminating your account and / or the Contract between us. We reserve the right to close any account without stating the reason for termination. Opening an account will not in any way give rights or privileges in any way whatsoever.

4. ACCOUNT SECURITY

The email address you provide during the process of opening your account will serve as your account login.

You must keep your account details secure at all times and must not disclose these details to anyone else. In the event that you lose or misplace your password or username, you have the responsibility to notify us immediately. You are also fully responsible for any actions conducted in your name because of this. With your continued use of the service, you agree that the loss or disclosure of your password and / or username is strictly your responsibility, as well as any result of the loss or misplacement of this information.

5. ORDERING FROM OUR SITE

Once your account is set up and you follow the terms and conditions, you can securely buy , sell , store , or buy in steps precious metal using our online system.

Our order process allows you to check and amend any errors before submitting your order to us. During the check-out, you will be asked to transfer the total amount of your order within 60 minutes to one of the provided bank accounts, as well as sending us a proof of payment immediately for the price guarantee , our prices are influenced by market fluctuations . The actual purchase is done not before the correct amount of the order is visible in our account .

After you place an order, you will receive an e-mail from us with acknowledgement of reception of your order. However, please note that this does not mean that your order has been accepted.

We will confirm our acceptance of this order to you by sending you an e-mail that confirms the amount of gold or silver you have purchased together with the price paid for such precious metal (Order Confirmation).
The e-mail will also state whether the goods will be sent to you, added to your “B+R Program” (please refer to Article 12 for more information on the B+R Program) or placed in “Your Vault” (please refer to Article 8 for more information on storage of items).

The Agreement between us will only be formed when we send you the Order Confirmation.

If for whatever reason we are unable to proceed with your order, we will inform you of this by e-mail and we will not process your order. When answering any email, please note that this will only be accepted when submitted in English and your full name and client number is mentioned in the email.

6. HOW TO ORDER and CHECKOUT

Once you have selected the product of your choice, you can add it (or any number of products) to your cart.

You may review your shopping cart and add or remove any products and then proceed to the checkout.

In the check-out you will be asked to :

1) review your billing address ;
2) choose your shipping method and insurance of your shipping, or choose storage, or incase of a grains purchase for the “B+R Program” none ;
3) choose your method of payment ;
4) confirm your selected items, including price and number of items ;
5) After you have placed your order, you will be asked to pay to the provided bank account within 60 minutes and immediately after send us the proof of payment. Please refer to Article 6A for more information on Order confirmation.

7. CANCELLATION OF YOUR ORDER :

The cost of precious metals is based on the current precious metals prices. In order to avoid speculations the following goods are excluded from the statutory right of withdrawal, unless fluctuations in the aforementioned prices do not or barely affect the purchase amount and provided the seller granted its prior approval in writing to the same:- solid gold, regardless of weight, fineness and year of issue; - gold in coins, regardless of weight, fineness and year of issue; - solid silver, regardless of weight, fineness and year of issue; - silver in coins, regardless of weight, fineness and year of issue; - collectibles containing the aforementioned items.

Fluctuations in gold and silver prices between the date of purchase and the date of delivery shall not affect the price. Therefore, the seller is not responsible and/or liable for price fluctuations between the moment that the agreement is concluded and the delivery of the goods.

In accordance with our fair policy, we will always be willing to buy back your goods after the purchase is officially completed and you are not satisfied within reasonable terms. In such case , administrative/transport fees will apply, which will be communicated to you by email.

8. DELIVERY OF YOUR GOODS

Your items will be sent to you by insured transport , as agreed in the contract/invoice. Delivery by the trusted shipping company selected by us shall take approximately five to seven working days . This may be longer due to circumstances outside of our control as per the transport company’s policy or circumstances with the manufacturer. You will receive a tracking number by email to track your items .

Any cost of shipping is mentioned separately on your invoice.

As soon as the parcel is accepted by signature by any person at the designated shipping address which was confirmed in the purchase process , or in the case of the client failing to carry out the inspection upon receipt of the parcel, our responsibility will cease and any insurance will be voided. Always be sure to receive and accept the package in person, as this is your own responsibility.

If delivery is not made within the agreed delivery period (including any extension agreed upon), the buyer is entitled to set a future delivery date, wherein we are still able to deliver the goods within 30 days. If the seller by the newly set delivery terms has not yet taken care of delivery, the buyer is entitled to terminate the agreement. Buyer can however never derive the right to claim compensation.

All delivered goods must immediately after delivery be inspected by the buyer on possible loss or damage. In case of loss and/or damage the buyer must report this to the seller by email or by telephone within 2 hours after receipt has been taken of the goods. As soon as the parcel has been accepted at the delivery address, or if the package is not inspected upon receipt, all possible obligations of the seller in connection to this shall be voided.

Any items in transit are insured according to your choice of coverage in the checkout process. Insurance coverage is in effect as from the handover to and acceptance by the shipping company, until delivery at the address as designated on the shipping documents that were provided to you.

9. STORAGE OF ITEMS : YOUR VAULT

You will always have full (100%) ownership of your coins and / or bars in your “Vault, which will be assigned to your personal account.

You will always have full (100%) ownership of your grains , which are vaulted in the process of in the B+R Program, which will be assigned to your personal account.

Each gold, silver, platinum or palladium bar in Your Vault has a unique LBMA or LPPM registration number, with which we will always provide you. On completing an order for items to be placed in “Your Vault”, such code will be registered to your name in your personal account.

10. CERTIFICATES

For all stored bars , a digital copy of the certificate will be placed in your account. Upon request , a hard copy can be sent to you against transport/administrative fee. A certificate will contain the unique registration number for each bar.

11. SELLING YOUR ITEMS :

Using your personal and secure online account, you can sell your precious metals 24 hours per day, 7 days per week. Any and all proceeds from the sale of your precious metal bars and coins (less any commission and administrative fees) will be credited to your bank account after the completion of the selling procedure.

12. SELLING PAGE

For the purpose of selling us your precious metals, which were not purchased through our service, prices fluctuate in accordance with market prices. Please note that only the items as mentioned on your Selling List will be accepted for analysis.

Within 24 hours after you fill in your selling list , you will receive an email with the offer and the selling agreement. This offer will stand for 10 working days, during which time the offer can only change according to the market price fluctuations (indexing).

After the hand over to and the scanning of the package by the shipping company your goods will be fully insured. You will receive an email at the moment we are notified or have received information of the arrival of the package and the conclusion of the inspection of the goods by our refinery, Baird & Co. If the package contains the goods that were agreed upon and after the package passes inspection, within 24 hours the agreed price will be transferred to your account.

When the sent goods have not passed inspection for any reason whatsoever , you will get a notification email containing either a new offer or a new contract to send the goods back to you against payment for two times transport , for which payment must be completed before they will be shipped back to you. You will have the choice what to do with the goods.

For the inspection of your package with the precious metals, we only work with Baird & Co in London, England . Immediately after the hand over of your package by the shipping company, every step will be monitored and documented, some steps may be filmed as well , for ruling out any discrepancies.

For all transport, we use only the most trusted shipping companies selected by us, where your package will constantly be monitored and documented , some steps may be filmed as well , while in their care.

13. SENDING YOUR GOODS

You, the user, agree to send your offered items in accordance with the packaging specifications of the Selling Package page , containing :

already labelled shipping packet, with the following items enclosed :

a) the packaging materials,

b) one packing/shipping instruction

c) two shipping documents

(one is marked “for customer” , and one is for handing over to the shipping company )

For insurance reasons, please pack your goods exactly according to the provided instructions.

Any goods or items that are packaged in any way not in agreement with these specifications may void insurance and be refused and subsequently returned at your own cost and risk. Prior to any returns, you will be sent an invoice for the both the shipping cost. Any claim whatsoever will only be taken into consideration if the original shipping bill is made available to us.

Any provided insurance of your items will be effective as from the handover and scanning of your Shipping Package to the responsible person of the agreed shipping company until arrival at the designated address as provided by us on the shipping label.

Items sent to us or to agreed partners by you, will be checked, tested and analyzed in a strictly documented process in a controlled environment. After these procedures, an offer will be made available to you in writing.

Your selling agreement will be not take effect before said agreement, including the offered price, has been signed by you and thus accepted by both parties .

Any pay out as a result of selling your goods can only take place to the bank account and details as provided in your Full Trading Account or as agreed by both parties as otherwise, as set out in these Terms .

Any breach by you of the applicable terms will void any agreement.

Any precious metals shipped to us, or to confirmed partners, shall be subject to verification by us or said partner. In the event that the contents of your package do not match the description and / or the value is significantly lower, a new contract will be offered or the goods will be returned in accordance with provisions as set out in these terms.

In case of (suspected) misrepresentation of the contents of a parcel shipped to us by you or in your name, or (suspicion of) fraud in any way , charges will be brought with the appropriate Authorities and local Authorities and any contract/agreement will be voided immediately, thus deemed invalid.

14. THE B + R Program

For the purpose of the B+R Program, 1 gold grain equals 0,06 grams of gold, we based this on an average weight per grain of 1000 weighed grains. The price of grains fluctuates in accordance with the market gold prices.

In case of a completed product in the course of your B & R Program , any grains held by you for this purpose will automatically be bought back from you, for which the payment will be made in the form of your desired selected product, which product you agreed to in the process of starting your participation in the B+R program. This product will be placed in your “Vault”. The completed product may be kept in storage for you for up to two weeks free of charge, after which storage fees will apply. After completion you will always receive a notification email . All purchased grains will be stored in our fully secured storage facility.

In the circumstance when you own gold grains, you shall have the right to sell your grain back to us. We will not be able to ship such grains to you, because they are part of an agreement . In any case that grains are to be sent to you, these grains will be re-calculated to grams and a corresponding product of our choice will be sent to you.

When the agreement is cancelled by you and you wish to receive the grains you have paid for up to the moment of cancellation, any grains held by you for this purpose will automatically be bought back from you , an additional administrative fee of 10% will be charged, after which the remaining amount will be transferred to your bank account.

In the event that the client wishes to accept money (currency), in stead of selected corresponding products, this may be accepted by us. Any standing (open) cost will be deducted before any pay out of monies. Pay-outs will only be completed after the signing of an agreement.

For clarification purposes :
In case of premature (early) termination of any B + R Program active on your account for any reason, we will reverse your grain purchases by buying back your grains. You may choose to have the grains converted to a corresponding product which can be sent to you, or by pay-out of money amount, but not before deduction of the cost for conversion and a fee of 10% for administrative cost . A contract will be emailed to you , containing the sale of your grains. You agree to return this contract to us, duly signed and accompanied by photo identification and valid proof of address.

Any resulting product traded to you against grains will only be shipped to your registered shipping address, sold through our service or stored in the vault in your name.

15. PRICES AND CHARGES

The price of our precious metals is based on London bullion market prices and therefore constantly changes. The price as stated on our website is always inclusive of VAT and fees and is updated every 2 minutes. The price payable for any precious metals will be the price stated on our site at the time your order is placed. Prices as visible on the site at the time of your order will be valid for 60 minutes. A proof of payment must be sent within this time. Accepted proofs of payment are a bank e-mail or screenshot of the bank transfer.

We will charge you a commission on each sale , storage and purchase of precious metals. Any commission may vary in accordance with any service you acquire from us , depending on whether it applies to a Purchase order , Sales order, the B+R Program or Your Vault.
Any commissions shall be communicated to you by email if one of these events occurs and a commission is applicable.

GoldDirect specifically disclaims any liability for the interruption, cancellation or other termination of the GoldDirect online order entry system. Any quotes may be delayed .

16 A. PAYMENTS TO US

Upon reception of your order you will be asked to transfer the amount of your order within 60 minutes to our bank account, for which the details are stated in the checkout area. A proof of payment must be sent within these 60 minutes. Accepted proofs of payment are a confirmation bank e-mail, bank statement , transfer statement or screenshot of the bank transfer.

16 B. PAYMENTS TO YOU

For security and anti-fraud reasons, no payments will be made to bank accounts other than verified in your account and which may be deemed known to us. Details of your bank must match your account details.

17. COMPLAINTS

Complaints must be filed by email, stating your full name and account number. We will strive to answer your email within 7 working days , if reasonably possible. Please note that all emails and complaints must be submitted in English.
For clarity and legal reasons, all legal issues will only be accepted when submitted in English.

If a complaint is deemed to be justified by the seller, the seller can never be held to more than replacement of the goods that display a defect or additional delivery of the missing quantity or a credit note for the invoice related to the delivery upon restitution of the goods by the buyer, all at the discretion of the seller.


In case of a complaint the goods must be kept available to the seller for inspection purposes. Where possible, inspection takes place at the buyer, unless it necessary for the goods to be returned by the buyer in accordance with our instructions. 


The right to complain expires if the goods are no longer in the state in which they were delivered.


18. OUR LIABILITY

Nothing in these Terms shall limit or exclude our liability for:

- death or personal injury caused by our negligence, or the negligence of our employees, agents or subcontractors (as applicable) ;

- fraud or fraudulent misrepresentation; or

- breach of these terms.

we shall not under any circumstances be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss or any (personal) damages arising under or in connection with the Contract , service or use whatsoever of the GoldDirect website ;

- our total liability to you in respect of all other losses arising under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the value of the Bullion in your account or order;

- any and all instances where fraud or (fraudulent) misrepresentation is suspected , a full inquiry will be conducted and charges will be brought with (local) authorities.

19. EVENTS OUTSIDE OUR CONTROL

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under an agreement that is caused by an Event Outside Our Control.

An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.

If an Event Outside Our Control takes place that affects the performance of our obligations under a Contract:

- we will contact you as soon as reasonably possible to notify you;

- our obligations under a Contract will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. Where the Event Outside Our Control affects our delivery to you, we will arrange a new delivery date with you after the Event Outside Our Control is over.

20. COMMUNICATION and CONTACT

All communications will be done by e-mail and , for clarity and legal reasons , strictly in the English language. Any email you send us must contain your full name and account number. Any additions to communications made by phone must be confirmed by email, if such confirmation by email is not presented, the addition is not binding. These terms and conditions always apply .

If you wish to contact us in writing, or if any clause in these Terms requires you to give us notice in writing, you can send this to us by e-mail , which must be in the English language and contain your full and complete account details.

Before making any investment decision, we urge you to seek advice from your financial, legal, tax and accounting advisors. You should carefully consider the risks associated with investing in investment precious metal, taking into account your own individual financial needs and circumstances. The value of gold and silver fluctuates and is subject to market forces, including changes in world currency exchange rates.

Therefore, we would like to expressly mention, with your best interest at heart, that the value of your purchased goods may go up as well as down and you may not be able to realize the full amount of your initial purchase amount. Please note, that historic results can not be held as basis for future results. The historic performance of precious metal prices does not necessarily mean that future prices will follow a similar pattern.

22. OUR RIGHT TO VARY THESE TERMS

We reserve the right to revise these Terms from time to time when we find this necessary . We will always inform by email you if these events happen, in no more than 3 months after.

Every time you order any product from us, the Terms in force at that time will apply to the Contract between you and us.

Whenever we revise these Terms in accordance with this clause 7, we will keep you informed and give you notice of this by stating that these Terms have been amended and the relevant date at the top of this page.

23. OTHER IMPORTANT INFORMATION

Where the site and terms are provided to you in any other language, this is provided to you as a service. The English language will prevail and overrule any other text, both for the complete website, as well as the terms of service or any written communication or agreement. Any other language may not serve as a reference.

We may transfer our rights and obligations under a contract to another organization. But this will not affect your rights or our obligations under these Terms. We will always notify you by email when this occurs as soon as reasonably possible .

You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.

Any agreement or event is between you and us. No other person shall have any rights to enforce any of its terms.

Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will in no way mean that we have waived our rights against you and will in no way mean that you do not have to comply with any obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
